1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you ("Client" or "User") and Verdant Cyberz LLP ("we," "us," or "our"), governing your access to our website and the provision of our cybersecurity, GRC (Governance, Risk, and Compliance), and forensic services. By engaging with our website or services, you agree to be bound by these Terms.

2. Scope of Cybersecurity & GRC Services

Verdant Cyberz provides specialized consulting, auditing, and testing services focused on frameworks such as ISO 27001, DPDP Act, RBI Framework, SEBI Guidelines, and IRDAI Guidelines. Our services, including Vulnerability Assessment and Penetration Testing (VAPT), are advisory and diagnostic in nature. While we employ industry best practices and certified methodologies, no cybersecurity measure can guarantee absolute security or immunity from all threat vectors.

3. Client Authorizations & Responsibilities

When engaging us for VAPT, Network Security, or Forensics services, you represent and warrant that:

• You have the explicit legal authority and ownership to authorize security testing on the target systems, networks, or applications.
• You have obtained all necessary internal approvals and third-party consents (e.g., from cloud hosting providers) before testing commences.
• You will provide accurate, timely, and complete information necessary for us to perform GRC readiness assessments and gap analyses.

4. Confidentiality & Non-Disclosure

Due to the highly sensitive nature of cybersecurity, both parties agree to maintain strict confidentiality. We mutually agree to execute a formal Non-Disclosure Agreement (NDA) prior to the commencement of any service engagement. All vulnerability reports, audit findings, and proprietary intelligence remain strictly confidential.

5. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Verdant Cyberz shall not be liable for any indirect, consequential, incidental, or punitive damages arising from the use of our services. This includes, but is not limited to, damages for loss of profits, data loss, business interruption, or reputational harm, even if we have been advised of the possibility of such damages. Security testing inherently carries operational risks, and while we take extreme care, the Client accepts the risk of potential system instability during active testing.

6. Intellectual Property

Unless explicitly stated in a master services agreement, all methodologies, testing frameworks, custom scripts, and proprietary tools developed or utilized by Verdant Cyberz remain our exclusive intellectual property. The final reports and specific compliance deliverables generated for the Client become the property of the Client upon full payment of associated fees.

7. Governing Law & Jurisdiction

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
